These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and ExterminatorAtlas.com ("Company," "we," "us," or "our"). By accessing or using the website located at www.exterminatoratlas.com (the "Site") and any related services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy and Cookie Policy. If you do not agree to these Terms, do not use the Site.

Click‑wrap consent: When you create an account or purchase a Premium Plan you will be asked to click an “I Agree” button or checkbox. By doing so you accept these Terms electronically in accordance with Spain’s Ley 34/2002 (LSSI) and the EU e‑Commerce Directive.

1. Eligibility

The Site is intended for U.S. residents who are at least 18 years old. By using the Site, you represent that you meet these criteria.

2. Our Services

  1. Directory Listings (Free): Pest‑control companies may submit a basic listing at no cost.
  2. Premium Plans: Providers may purchase visibility upgrades (featured placement, top‑of‑category, custom branding).
    • Price: Variable, displayed on the checkout page.
    • Billing Cycle: Quarterly (every 3 months), auto‑renewing unless cancelled at least 5 business days before the next cycle.
    • Payment Method: Stripe or PayPal. You authorize us to charge your selected payment method at each renewal.
  3. We may change or discontinue any Service at any time with reasonable notice.

3. Account Registration and Security

You may need an account to post listings or reviews. You agree to:

  • Provide accurate, current information;
  • Maintain confidentiality of your login credentials;
  • Notify us immediately at info@exterminatoratlas.com of any unauthorized use.

We reserve the right to suspend or delete accounts that violate these Terms.

4. User‑Generated Content (UGC)

You may post reviews, ratings, comments, messages, and other content (collectively "UGC"). You grant us a worldwide, royalty‑free, perpetual, irrevocable, non‑exclusive licence to use, display, reproduce, modify, and distribute your UGC in any media for the purpose of operating and promoting the Site.

4.1 Prohibited Content and Activities

You agree not to:

  1. Post UGC that is unlawful, defamatory, obscene, hateful, harassing, or discriminatory;
  2. Transmit spam, chain letters, or pyramid schemes;
  3. Impersonate any person or entity;
  4. Upload viruses or malicious code;
  5. Use scraping, data mining, robots, or similar tools without our written consent;
  6. Interfere with the security or integrity of the Site;
  7. Violate any applicable laws or regulations.

We may remove or edit UGC and/or suspend accounts at our sole discretion. No refunds will be provided for suspended or terminated Premium Plans.

5. Intellectual Property

All content on the Site—including text, graphics, logos, databases, and software—is owned by or licensed to the Company and is protected by Spanish, EU, and international intellectual‑property laws. We grant you a limited, revocable, non‑exclusive, non‑transferable licence to access and use the Site for its intended purpose. All rights not expressly granted are reserved.

6. Payments, Taxes, and Refunds

  • All fees are quoted in U.S. dollars and exclude applicable taxes (e.g., Spanish VAT where required).
  • Payments are processed securely by Stripe or PayPal; we do not store complete card details.
  • No refunds are given for partial periods or early termination, except where required by law.

7. Third‑Party Content and Links

The Site displays listings and advertisements provided by independent pest‑control companies. We do not verify, endorse, or guarantee the accuracy, quality, or legality of third‑party content. Your interactions with such third parties are solely between you and them.

8. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR‑FREE, OR FREE OF VIRUSES. YOUR USE IS AT YOUR OWN RISK.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY, ITS OWNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SITE.

10. Indemnification

You agree to indemnify and hold harmless the Company and its affiliates from any claims, damages, or expenses arising out of your (a) use of the Site, (b) violation of these Terms, or (c) UGC.

11. Suspension and Termination

We may suspend or terminate your account and access to the Site at any time, with or without notice, if we believe you have violated these Terms or applicable law. No refunds will be issued for unused portions of any Premium Plan.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any disputes arising out of or relating to the Site shall be governed by and construed in accordance with the laws of Spain.

12.2 Binding Arbitration

  1. Scope. Any dispute, claim, or controversy arising out of or relating to these Terms or the Site ("Dispute") shall first be submitted to binding arbitration under the Spanish Arbitration Act 60/2003.
  2. Rules & Seat. Arbitration shall be administered by the Corte Civil y Mercantil de Arbitraje (CIMA) or, failing that, a mutually agreed institution. The seat and place of arbitration shall be Santa Cruz de Tenerife, Spain. The proceedings shall be conducted in English.
  3. Exceptions. Either party may seek provisional or injunctive relief in the ordinary courts of Santa Cruz de Tenerife when necessary to protect its rights.
  4. Confidentiality. The existence and content of the arbitration shall remain confidential, except as required to enforce the award.
  5. Award. The arbitral award shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

12.3 Courts of Competent Jurisdiction

If arbitration is deemed unenforceable or a court action is nonetheless permitted by law, the courts of Santa Cruz de Tenerife, Spain shall have exclusive jurisdiction. You waive any objection to venue or forum non conveniens.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by e‑mail or prominent notice on the Site. Continued use after such changes constitutes acceptance.
